Wide Web as its primary means of advertising, marketing, customer
contact, sales, research, education, shipment tracking, and
other developing resources made possible by Internet based
communications. It maintains its Home Office, warehouse, and
principle place of business in Spring, Texas, USA. Mailing

The primary purpose of this Policy Statement is to
set forth general guidelines of what expects from
its foreign distributors and commercial customers, and
what they can expect from . This Policy Statement
does not confer any rights, but is a notice of what
position is on matters dealing with the trade.
This Policy Statement will serve as a guide until events
and experience evolves it into a SOP (Standard Operating
Procedure). Supplement Spot expects and strives to maintain high
ethical standards in all aspects of the business. The
"Rule of Reason, Fairness, and Professionalism"
is our guiding principle.
The name "Supplement Spot," "Supplement Spot," "SupplementSpot.com" and "The
Supplementspot," "supplementspot.com"
are the exclusive trade terms of Supplement Spot. These are "Trade
Names" and are Trademarked and Registered in various
jurisdictions (USA, EU, Asia) and/or have Trademarks
and Registration applied for and pending in others.
Use of these Names and Terms by clients/distributors/others
is by permission only, as communicated by the Supplement Spot Home
Office via secure/non-secure e-mail, or post mailed
written agreement/understanding. Use of the name for
a URL (Uniform Resource Locater) is by permission only.
When a foreign party wants to put up a copy of the SupplementSpot.com
web site in their native language, Supplement Spot will register
the domain name for them in that particular jurisdiction.
Supplement Spot is exploring and capitalizing on the unique benefits
of the Internet in that it facilitates easy and near instantaneous
worldwide communications and logistics support for commerce
and the establishing of new business relationships on a global
scale. This capability creates new opportunities as well as
difficulties that will take time to sort out. Whereas business
on the Internet is borderless, the physical movement of goods
is not.
The Internet/www Factor on B2B Sales & Marketing:
Communications via the Internet/www has changed the nature
of business so that manufacturers can now sell direct to the
customer via the Internet without the middleman, traditionally
the importers, distributors, wholesalers and jobbers. However,
since most people do not shop or buy online, the standard
retail business model is still viable and in fact improved
by the efficiency of the Internet.
Supplement Spot Regional Distribution Centers (RDC's):
Supplement Spot is in the process of establishing a world-wide network
of Regional Distribution Centers. The purpose of these
is to move goods in quantity to ports and/or trade zones
close to your market area for redistribution. The goal
is to minimize your cost of shipping, customs, duties,
and so on. In fulfilling a foreign order, it is the
discretion of Supplement Spot to ship from a RDC or from the USA.
RDC Prices and Terms: Products coming through
a RDC may be priced higher by up to 50%. Most or all import
duties and taxes will have been paid and that product will
be cleared to ship via domestic mail service within that region,
for example the EU.
Foreign Customer: Any customer, person
or business, acting as a Master Distributor, Distributor,
or other business entity outside of the United States
and bulk purchasing our products is considered a Foreign
Customer. This does not include Supplement Spot worldwide regional
distribution centers (RDC's).
Drop Shippers: Supplement Spot will drop ship for retail
businesses, foreign or domestic. The Price List on www.supplementspot.com
applies primarily to the United States and Canada. Globally,
the wholesale prices will vary from Region to Region as set
by the Regional Distributor. If you are drop shipping, your
web site(s) Price List will have to reflect the price variables
from Region to Region. (You will have to have multiple price
list.) As our Regional Distribution Centers come online, we
will publish links to the web sites and price list.
Appointment of Foreign Distributors and Sales
Territory: All foreign Customers who want to
be classed as Master Distributor, Distributor, or to
wholesale/retail our products under any other term,
shall be considered as "Independent Contractors"
and not Agents of Supplement Spot. Master Distributors, Distributors,
resellers, vendors, and retailers shall ensure that
their officers, employees, and agents make no representation
that any such agency relationship exists. Use of these
terms is for the convenience of geographical apportionment
of sales area and to reserve to those willing to market
Supplement Spot products an exclusive or non-exclusive marketing
area. Request for and granting Master Distributorship
in a nation, region, or territory will be decided by
Supplement Spot Home Office. Request for Master Distributorship

Usually only one Master Distributorship will be granted
per nation or national area. Supplement Spot reserves the right
to market via the Internet to any individual business
or buyer at anytime anywhere. However, once a Master
Distributor / Distributor have been appointed to a given
area, it is our general policy to direct all sales inquiries
to the MD/D. Some areas will have more than one distributor.
This is because we may have existing buyers in a given
area who only operate in a closed network or the territory
is so large we feel that it is advantageous to have
more than one distributor in that area..
Qualifications:To qualify and to retain
Master Distributorship standing, one must state intention
to buy $25,000 worth of products a year. Exceptions are nations
or territories that do not have a customer base to attain
that level. All purchases at published prices over $25,000
will get a 5% discount. To maintain qualification as a Distributor
and preserve your market territory, one must buy at least
$12,000 of products a year. All purchases at published prices
over $12,000 will get a 3% discount. You do not have to accept
or retain the label/title of MD or Distributor to qualify
for those discounts. THESE DISCOUNT RATES DO NOT APPLY TO
DROP SHIPPING SALES & SALES TOTALS, BUT ONLY TO WHOLESALE
BULK BUYERS.
Limitations on Appointments: This
Policy Statement does not grant or license (or imply
to license) any of Supplement Spot's Trade Names/Marks by any distributorship
appointment. Master Distributors, Distributors, and/or
other resellers acknowledge that they shall not claim
any right to Supplement Spot trade names or trade marks or register
in any jurisdiction Supplement Spot trade name or trade mark.
Confidentiality of Distributors Customers:
Supplement Spot will respect the confidentiality of distributors'
customers. However, should a customer make a complaint
to Supplement Spot about a distributors actions, Supplement Spot will take appropriate
steps to remedy the situation should such action be
needed.
Complaints / Disputes between Distributors:
Should a complaint or dispute arise between resellers and/or
distributors, a written complaint and counterclaim should
be filed with the Supplement Spot home Office. A response will be given
within 30 days or as soon as possible if exigent circumstances
demand immediate action.
Sales Territory - Real: National boundaries will in most
cases define a sales territory. The number of distributors
in a sales territory will be determined by Supplement Spot. Supplement Spot will post
on supplementspot.com a Master Distributors/Distributors List
with all distributors and contact data listed.
Sales Territory - Virtual: Any party doing business
with Supplement Spot may retail our products over the Internet via
there business website. However, it is expected of distributors
to respect each others sales territory and only wholesale
to and supply volume customers within their respective
assigned sales territory. Some distributors may operate
in more than one territory. It is recognized that because
there are different national regulatory laws, taxes,
trade zones, shipping cost, and so forth - that there
may be price differences among different RDC's and sales
territories.
Copying / Cloning the SupplementSpot.com website:Parties
interested in setting up their own commercial website using
the SupplementSpot.com web site as a template need to contact
us. This situation is still evolving and subject to change,
but at present we will allow you to copy and use promotional
material off the SupplementSpot.com web site such as pictures
and articles for use on your site. If you wish to use the
name SupplementSpot.com.xx or SupplementSpot.xx (the xx is your countries
URL designator), upon review and acceptance of your business
plan, we will register the URL name for you. You must do,
or provide your own programming, shopping cart, server, and
other Internet support requirements. Supplement Spot uses the Yahoo Store
system, which may be found under Small Biz Center at the bottom
of the Yahoo.com homepage. If you wish to use our programming
team, you may contact www.Web-Space-Station.com company. They
have fees based on the level of service and support you want.
If you are cloning parts of the Supplement Spot website, we highly
recommend them. If you are marketing Supplement Spot supplements, we have
no objection to you carrying additional products we don't
list on our retail site as long as they are not harmful or
in bad taste. Supplement Spot reserves the right to determine what is
harmful and in bad taste. Refusal to abide by Supplement Spot's decision
in the matter may result in termination of the sale of Supplement Spot
products, use of Supplement Spot Tradename, URL, and business relationship.
Appointment of USA / Canada Distributors and Sales
Territory: Supplement Spot, through its Wholesale
Division, The Supplementspot website (www.supplementspot.com),
is the sole distributor in the United States and Canada.
Product Pricing: The prices posted on supplementspot.com
are the current wholesale product price at that time for the
United States and Canada only, whether you are buying in quantity
or placing a drop shipment order. If your order totals over
$2500.00 you may apply for a discount.
Payment & Billing Procedures: All prices
and payments are in US Dollars. Supplement Spot does
not do 30 day billing or set up running accounts. All foreign
orders are to be paid by American Express Credit Card or PayPal
at the time of the order. We use American Express because
they have the best fraud screening and customer service. Other
payment arrangements need to be made prior to ordering. If
you have products we can sell in America, we will discuss

Order Processing: Supplement Spot will employ best efforts
to fill all orders promptly upon acceptance but reserves the
right to allot inventories as it deems best. We try to fill
all orders within 12 to 36 hours. Large orders requiring a
production run will be given an estimated delivery date. A
50 % deposit is required to initiate a custom production run.
Shipping:
U.S.A.: Unless otherwise specified, shipping is by United
States Postal Service Priority Mail, or UPS ground and
is added to the cost of the order.
Canada: Minimum Shipment to Canada by International
Express Mail is $40.00 USD.
Mexico, Central America, South America: To be determined
at the time of the order. USPS, UPS, Fed Ex, DHL, Pilot Air
and other services are available.
Europe & Asia: To be determined at the time of the order.
USPS, UPS, Fed Ex, DHL, Pilot Air and other services are available.
Problems with Customs & Ports of Entry: Sometimes a package
is returned to us for no reason, in fact, customs rarely state
a reason. If you are new to importing, it will save time and
money if you do a little research on the best method to import
vitamins and supplements into your country. It is best to
make a small order ($100.00 USD) and see how it goes through
before placing a large order. It is critical to determine
the best shipper and the best route to ship your order. Sometimes
a customs agent in a port that the order is just passing through
in transit will seize the package and/or turn it around and
we get it back. If you have a shipping agent, we need to know
them. We will work with you until the best shipping method
is determined. The options range from US Postal Service to
the various Air Cargo companies. For very large orders we
can ship be sea.
Tracking Shipments: We prefer to ship insured with tracking
numbers. This is more expensive, but is a measure of insurance
that you will receive your goods. If you request us to ship
otherwise, the terms are F.O.B. If the shipment is lost, it
is your loss and your responsibility to pursue claims through
the shipper. Even with tracking numbers we have packages lost
but the follow-up claim is much easier.
Priority Mail / Expedited Delivery / Overnight, etc.: Our
experience is that on international orders, the 3-5 day delivery
service you pay for can actually be up to two weeks or more.
It is usually not the shipper’s delay, but in clearing
customs and ports of entry.
Errors in Ordering & Delivery: Most errors are packing
errors. Supplement Spot will correct these errors and reship the correct
products at our expense or include them on your next order.
On domestic orders, any mis-shipped products can be returned
for credit. If you want to keep them, your account will be
charged. Foreign orders will be handled on a case by case
decision.
Drop Shipping: Drop shipping is where you want us to
ship directly to your customer instead of us sending
the order to you. For example, you have a retail site
and want to redirect your customers order to us for
fulfillment. To have us do this, when in the supplementspot
online shopping cart, just put your business in the
"Billing Address" section and your customer's
address in the "Ship To" address section.
We will charge your account as usual and send you the
e-invoice. In the package we will only include a packing
slip. We will drop ship to your retail and wholesale
customers. This can save you the re-ship bill and import
duties. Small personal orders often pass right through
customs with no interference. Shipping and handling
charges, which will vary from order to order, are also
included on your bill. On international orders to area's
where we do not have a Distributor, we may ship from
the United States. When doing so, on small orders there
is a $2.00 allowable variance, and on large orders a
$5.00 allowable variance in shipping cost. This is explained
further in the next section.
Shipping & Handling Cost: On international orders shipped
from the United States, at the time we pack, label,
and prepare the customs forms for your order, at times
and depending on the shipper, we can only estimate shipping
cost according to the fee rate of the particular shipping
company. This is because some don't bill us until after
the shipment has gone out. Therefore, using their rate
schedule we estimate your shipping cost and that is
what we bill you at the time we ship your order. Usually
we are within 1 or 2 dollars of the actual bill and
we leave it at that. If we are more than $5.00 off,
we may make an adjustment on your account.
Use of Supplement Spot Trade Name & Trade Mark:
The name "Supplement Spot" is trademarked. Supplement Spot
will generally authorize Distributors to use, in conjunction
with its promotion and sale of Supplement Spot's products, the Supplement Spot trade name and product literature. Distributors
shall at all times make whatever efforts are reasonably
required to protect and preserve Supplement Spot’s trade name
and good will with respect to the products and customers.
If a Distributor or purchaser sees or learns of counterfeit
or copy cat products manufactured and for sale in foreign
jurisdictions, they will notify the Supplement Spot Home Office
as soon as possible.
Sales Support: Product literature, etc.:
At the present time, all product information is posted on
the SupplementSpot and supplementspot websites. You are free to
copy, download and produce your own material as you see fit
at your own cost. We will be preparing printed product literature
in the future, but until then, information on the websites
is all that is available. Do not make any additional health
claims or benefits than what is on the ya.com website for
any product sold by Supplement Spot.
Product Warranty: Supplement Spot
warrants each of its brand name products to be manufactured
to USP standards, or Current Good Manufacturing Practices
(CGMP's), which ever is applicable to the individual
product. Other brand name products sold by Supplement Spot if produced
in the USA are believed to be manufactured to the same
standards. Imported products are believed to be manufactured
to the country of origins similar standards. In the
event that a wholesale buyer discover, determines, or
believes that there is any defect or problem with any
product sold by Supplement Spot, they shall notify the Home Office
at 1-800-926-2070 or 1-281-296-2294 and report such
immediately. Remedy for any claim of allergic reaction,
hardship, or damage caused the use/mis-use/ or abuse
of any products sold by Supplement Spot shall be a refund of monies
paid, and only upon the return of the unused portion
of the product with a letter of complaint stating the
nature of the problem.
Product Labels: All Supplement Spot product labels conform
to the Fair Packaging and Labeling Act, Title 15, Ch. 39,
USC. http://www.fda.gov/opacom/laws/fplact.htm.
Private Labeling: All labeling done in the USA must meet
FDA Regulations referenced above. Their will be additional
fees for private labeling. Private labeling creates its own
set of logistics and will be handled on a case by case basis.
There are basically two options:
1. Supplement Spot will private label for buyers and distributors requesting
private labeling who order between $3,000 - $10,000 of one
particular product. Customers may design their own labels
and submit the design to Supplement Spot for processing.
2. Supplement Spot will ship the products unlabeled by the case (which
is labeled) to the customer and they may apply there own label
to the individual bottles.
Product Returns:
1. Products sold by Supplement Spot through supplementspot.com can be
returned or exchanged for good cause. Good cause will be determined
by Supplement Spot at time of request. All return cost must be paid by
the returning party and only after authorization is given
by Supplement Spot. Products that have been private labeled are not returnable
except for defects in the product at the time of manufacture.
2. Products that have been resold by the distributor or reseller
that are returned to them are not returnable to Supplement Spot.
3. Drop shipped products that are returned to you cannot be
returned to Supplement Spot.
